Terms and Conditions of Service
Effective Date: April 16, 2026
Welcome to Absorb Blue Inc. ("Company," "we," "us," or "our"). These Terms and Conditions of Service ("Terms") govern your access to and use of our website, mobile applications, and our proprietary educational services, including the Artificial Professor(TM) and the Artificial Professor of Bio 101(TM) (collectively, the "Services").
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICES.
These Terms include a binding arbitration clause and a class action waiver (see Section 9). Please read them carefully as they affect your legal rights.

1. NATURE OF THE SERVICES: THE ARTIFICIAL PROFESSOR(TM)
1.1 AI-Powered Educational Agents
You acknowledge that the Artificial Professor(TM) is an automated learning agent powered by artificial intelligence and our proprietary EKU-based knowledge systematization methodology. Unlike traditional static content, the Artificial Professor interacts with you dynamically.
- No Human Oversight: Interactions with the Artificial Professor are generated by software. There is no human instructor monitoring your real-time interactions unless specifically so stated or for the purposes of technical support.
- Potential for Inaccuracy ("Hallucinations"): While we strive for accuracy through our EKU methodology, AI technology may occasionally output incorrect, misleading, or out-of-date information. You agree to verify any critical information with your own and independent and authoritative primary sources (e.g., textbooks, peer-reviewed journals, etc.). Absorb Blue is not responsible for errors in in your interactions with our Services.
1.2 Educational Methodology & App Functionality
The Services implement a new educational paradigm that departs from traditional lectures, textbooks, homework, and tests. Learning is organized around discrete Elementary Knowledge Units ("EKUs") and is delivered through an agent-led, chat-based interaction that users may engage with via text or voice. The underlying methods, systems, and user experience are proprietary to Absorb Blue and are protected by one or more issued and pending patents, as further described in Section 4.
The scope, number, and organization of EKUs, as well as the specific features, interaction flows, and interface elements of the Services, may be added to, modified, or removed at our discretion as the Services evolve.
1.3 Educational Purpose Only (No Professional Advice)
The Services are for educational and informational purposes only.
- Not Medical Advice: The Artificial Professor of Bio 101(TM) may discuss biological processes, anatomy, or medical concepts. THIS CONTENT IS NOT MEDICAL ADVICE. It is not intended to diagnose, treat, cure, or prevent any disease. It does not establish a doctor-patient relationship, and you should not rely on the Artificial Professor for medical decision-making. Always consult a qualified healthcare provider for medical concerns.
- Not Legal or Financial Advice: Similarly, any content related to law, finance, or other regulated professions is purely for academic study.

2. BETA SERVICES, WAITLIST, AND CROWDFUNDING
2.1 Beta Access
The Artificial Professor of Bio 101(TM) is currently being developed and we anticipate to first present it in a "Beta" or "Pre-Release" state. By accessing this Beta, you acknowledge:
- The Service may contain bugs, errors, and other faults (e.g., incorrect or incomplete EKUs and structures).
- In addition, the Service may experience downtime or data loss.
- Absorb Blue expressly disclaims all warranties regarding the stability of the Beta Service.
2.2 Waitlist and Promotional Offers
Users who join the waitlist for the Artificial Professor of Bio 101(TM) may be eligible for a special promotional offer, that may be described as "$100 off the release price" or as access to a "Pre-Buy / Early Bird" cohort or as a crowdfunding "Waitlist Tier" or that may be referred to by related wordings.
- Redemption: This offer will be redeemable at Absorb Blue's sole discretion either as a direct discount code when purchasing access to the Services, for a limited time after such access has been made available for purchase, or in the form of an invitation to early or restricted access to a reward tier on a third-party crowdfunding platform (e.g., Kickstarter, Indiegogo) that may be limited in size.
- Crowdfunding Specifics: If the launch is conducted via crowdfunding, you acknowledge that your payment is a donation/pledge to support the development of the Artificial Professor, not a traditional retail purchase. In addition, such pledges are subject to the Terms of Service of the respective platform (e.g., Kickstarter, Indiegogo). Refunds for crowdfunding pledges are generally not permitted once the campaign closes, as funds are immediately applied to development.
- Non-Transferable: Waitlist spots and associated discounts are non-transferable and have no cash redemption value.

3. USER ACCOUNTS, SECURITY, AND APP MARKETPLACES
3.1 Eligibility and Security
- You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction (typically 18), you represent and warrant that your parent or legal guardian has reviewed and agreed to these Terms on your behalf, and that they consent to your use of the Services, including the processing of your User Content as described in Section 4.3.
- You are responsible for maintaining the confidentiality of your login credentials. You accept responsibility for all activities that occur under your account.
- One Account Per User: You may not share your account with others. The adaptive nature of the Artificial Professor relies on tracking your specific learning curve. Sharing an account corrupts this data and is a violation of these Terms.
3.2 Mobile Application Platforms
If you access the Services via an application downloaded from a third-party platform (such as the Apple App Store or Google Play Store), you acknowledge that these Terms are concluded between you and Absorb Blue Inc. only, and not with the platform provider. The platform providers are not responsible for the Services, maintenance, support, or any claims relating to the mobile application.
Apple App Store - Additional Terms. If you download the Services from the Apple App Store, you further acknowledge and agree that: (a) these Terms are between you and Absorb Blue Inc. only, and not with Apple Inc. ("Apple"); (b) Absorb Blue, not Apple, is solely responsible for the Services and their content; (c) your license to use the Services is limited to a non-transferable license to use the Services on any Apple-branded product that you own or control, as permitted by the Apple Media Services Terms; (d) Apple has no obligation whatsoever to provide any maintenance or support services with respect to the Services; (e) in the event of any failure of the Services to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Services; (f) Absorb Blue, not Apple, is responsible for addressing any claims by you or any third party relating to the Services or your possession and/or use of the Services, including product liability claims, consumer protection claims, and intellectual property infringement claims; (g) Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
Google Play - Additional Terms. If you download the Services from Google Play, you acknowledge that Google Inc. and its affiliates are not responsible for the Services or any claims you or any third party may have relating to the Services, and that your use of the Services must also comply with the then-current Google Play Terms of Service.

4. INTELLECTUAL PROPERTY RIGHTS
4.1 Ownership
Absorb Blue Inc. retains all ownership rights, title, and interest in the Services, including but not limited to:
- Our Patent Portfolio.
- The Artificial Professor(TM) and Artificial Professor of Bio 101(TM) brands.
- The underlying software, algorithms, and EKU-based knowledge systematization methods.
- All visual interfaces, graphics, design, compilation, information, data, and computer code (the "Materials").
4.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.
- No Scraping: You may not use robots, spiders, or other automated means to access the Services or extract EKU data.
- No Reverse Engineering: You may not attempt to reverse engineer the AI models or discover the source code of the Artificial Professor.
4.3 User Content License
By submitting your interaction inputs, voice data, or other content ("User Content") to the Artificial Professor, you grant Absorb Blue a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and analyze such User Content for the purposes of providing the Service and training/improving our AI models.
Our collection and processing of User Content, including any voice recordings and associated biometric information, is further described in our Privacy Policy, available at https://www.absorb.blue/privacy. Where required by applicable law, we will obtain your separate consent before using User Content for AI model training, and you may withdraw that consent at any time through the mechanisms described in the Privacy Policy. Withdrawal of consent does not affect the lawfulness of processing carried out before withdrawal.
4.4 IP Notice
You have also read and understood our "Intellectual Property & Innovation" page, as currently published at https://absorb.blue/intellectual-property and as it may be periodically updated.
4.5 Copyright Complaints (DMCA)
Absorb Blue respects the intellectual property rights of others and expects users of the Services to do the same. If you believe that any material on the Services infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our designated agent with the following information in writing:
- A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest;
- A description of the copyrighted work that you claim has been infringed;
- A description of where the allegedly infringing material is located on the Services;
- Your address, telephone number, and email address;
- A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- A statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
Notices should be sent to our designated copyright agent at hello@absorb.blue with the subject line "DMCA Notice."

5. PAYMENT AND REFUNDS
- Subscriptions: Services may be offered on a subscription basis (daily/monthly/annual/other). Payments are processed by third-party gateways (e.g., Stripe, RevenueCat) or through your designated App Store account (e.g., Apple iTunes or Google Play).
- Auto-Renewal: Unless you cancel before the end of the then-current billing period, paid subscriptions automatically renew for successive periods of the same length at the then-current price. You may cancel at any time through your account settings or, for App Store purchases, through the applicable platform's subscription management tools.
- Refund Policy: Except as required by law, payments are non-refundable. Consumers located in jurisdictions that provide statutory withdrawal or cooling-off rights (such as the European Union and the United Kingdom) retain those rights as provided by local law; you acknowledge, however, that by accessing digital content immediately upon purchase you may be agreeing to waive any such withdrawal right to the extent permitted by law. For the Bio 101 Beta Pre-buy, specific refund terms applicable to the crowdfunding platform (e.g., Kickstarter) will apply. If purchased via a mobile platform, the refund policies of Apple or Google will govern the transaction.
- Price Changes: We reserve the right to change subscription fees upon notice to you. Changes will take effect no earlier than the start of your next billing period following such notice.

6. TERMINATION
You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services, in whole or in part, at any time and without prior notice, if we reasonably believe that you have violated these Terms, that your conduct creates risk or legal exposure for Absorb Blue or other users, or that continued provision of the Services to you is no longer commercially reasonable.
Upon termination: (a) your right to access and use the Services will immediately cease; (b) sections of these Terms that by their nature should survive (including Sections 4, 6, 7, 8, 9, 10, and 11) will survive; (c) any crowdfunding pledges or Waitlist benefits remain governed by Section 2.2 and the applicable platform's terms; and (d) we may, but are not obligated to, retain or delete your User Content as described in the Privacy Policy.

7. DISCLAIMERS AND LIMITATION OF LIABILITY
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
7.1 No Warranties
ABSORB BLUE INC. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE ARTIFICIAL PROFESSOR WILL BE ERROR-FREE OR THAT IT WILL MEET YOUR LEARNING OBJECTIVES.
7.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABSORB BLUE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7.3 Specific Waiver for Life Sciences
YOU SPECIFICALLY ACKNOWLEDGE THAT THE ARTIFICIAL PROFESSOR OF BIO 101(TM) IS A STUDY AID, NOT A SAFETY MANUAL. ABSORB BLUE IS NOT LIABLE FOR ANY DAMAGES ARISING FROM THE APPLICATION OF BIOLOGICAL CONCEPTS LEARNED THROUGH THE SERVICE IN REAL-WORLD SETTINGS (E.G., LABORATORY ACCIDENTS, IMPROPER MEDICAL PROCEDURES).

8. INDEMNIFICATION
You agree to indemnify and hold harmless Absorb Blue Inc., its officers, directors, and employees from any claims, liabilities, damages, losses, and expenses arising out of your use of the Services or your violation of these Terms.

9. GOVERNING LAW AND ARBITRATION
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Binding Arbitration. ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS, except that either party may bring an individual action in small claims court for qualifying disputes. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will be conducted in English, and the seat of arbitration will be Wilmington, Delaware, provided that you may elect to participate by telephone, videoconference, or written submissions where permitted by the AAA rules. Judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver. CLASS ACTIONS, CLASS ARBITRATIONS, AND REPRESENTATIVE ACTIONS ARE WAIVED. You and Absorb Blue each agree that any dispute resolution proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action.
30-Day Right to Opt Out. You may opt out of this arbitration agreement by sending written notice to hello@absorb.blue with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms. Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.
Severability. If the class action waiver is found to be unenforceable in a particular case, then the entirety of this Section 9 will be null and void as to that case, but the remainder of these Terms will remain in full force and effect.

10. CHANGES TO THESE TERMS
We may modify these Terms from time to time. If we make material changes, we will provide reasonable advance notice by posting the updated Terms on our website and, where appropriate, by sending notice to the email address associated with your account. Changes will become effective on the date stated in the notice (or, if no date is stated, fourteen (14) days after posting). Your continued use of the Services after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services before the effective date.

11. MISCELLANEOUS
Entire Agreement. These Terms, together with any policies referenced herein (including the Privacy Policy and the Intellectual Property & Innovation page), constitute the entire agreement between you and Absorb Blue regarding the Services.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
